 株式会社TBSテレビ(以下「運営者」といいます。)は、運営者が提供するゲームソフトウェアプログラム「KASSO GAIDEN: Escape from the Skaterverse」に関し、その利用条件等を定めることを目的として、この規約(以下「本規約」といいます。)を制定します。すべての利用者は、本規約の定めるところに従って、本ソフトウェアを利用するものとします。

第1章 基本的事項

第1条(用語の定義)
本規約において、次の各号に掲げる用語の意義は、それぞれ当該各号に定めるとおりとします。

  1. 本ソフトウェア:運営者が提供するゲームソフトウェアプログラム「KASSO GAIDEN: Escape from the Skaterverse」(第9条第3項に定める追加・修正プログラムにより変更等されたものを含みます。)をいいます。
  2. 利用者:本ソフトウェアを利用する者をいいます。
  3. 本コンテンツ:本ソフトウェアにおいて提供される映像、画像、音声、音楽、文章、プログラム、コードその他のコンテンツをいいます。
  4. 本サイト:運営者が管理運営する本ソフトウェアの公式サイトをいいます。
  5. 第三者PF等:Apple Inc.、Google Inc.等の運営者以外の第三者が提供するサービスをいいます。

第2条(本規約の適用)

  1. 本規約は、本ソフトウェアの利用条件及び権利義務を定めることを目的とし、運営者と利用者との間の本ソフトウェアにかかる一切の関係に適用されるものとします。
  2. 運営者は、利用者に対し、本ソフトウェアの利用を許諾するものとし、利用者は、本規約の定めるところに従って本ソフトウェアを利用するものとします。

第3条(本規約の変更)

  1. 運営者は、利用者の一般の利益に適合するとき、又は本規約の変更が本ソフトウェアの目的に反することなく、かつ、変更の必要性、変更後の内容の相当性その他の変更にかかる事情に照らして合理的なものであるときは、変更後の本規約の内容及びその効力発生日を利用者に第6条の規定により通知することにより、利用者の事前の承諾を得ることなく、いつでも本規約を変更することができるものとします。
  2. 前項に定める本規約の変更は、利用者に第6条の規定によりこれを通知し、又は周知された効力発生日からその効力が生じるものとします。

第2章  本ソフトウェアの利用

第4条(利用許諾)

  1. 本ソフトウェアの利用を希望する者は、本規約に同意のうえ、利用者が保有する機器・端末等にインストールすることで利用することができます。
  2. 本ソフトウェアを利用することができる者は、次の各号のすべての条件を満たす者に限られるものとします。
  3. 本規約の内容を理解し、同意し、及び遵守することができる者。
  4. 未成年者及び制限行為能力者の場合には、本規約の内容について親権者等の同意を得たうえで、親権者等から前号のための説明を受けた者。
  5. 次の各号のいずれかに該当する者は、本ソフトウェアを利用することができないものとします。運営者は、利用者が次の各号のいずれかに該当すると判断した場合には、その利用を拒否し、又は停止させることがあるものとします。
  6. 過去に本規約に違反したことがある者。
  7. その他、客観的根拠に従って、運営者が、本規約に違反する蓋然性が高いと認める者。

第5条(第三者PF等)

  1. 利用者は、本ソフトウェアの利用にあたり第三者PF等を利用するときは、当該第三者PF等における利用規約その他の事項を遵守するものとします。
  2. 前項の場合において、利用者は、自らの責任と費用負担において第三者PF等を利用するものとし、運営者は、第三者PF等を利用したことにより利用者に生じた損害について、一切の責任を負わないものとします。

第6条(通知)

  1. 運営者の利用者に対する通知は、本ソフトウェア若しくは本サイト上の掲示又は運営者が適当であると認める方法により行われるものとします。
  2. 前項の場合において、運営者が本ソフトウェア又は本サイト上に掲示等したときは、その掲示等の時をもって、当該通知が到達したものとみなします。
  3. 利用者は、運営者の利用者に対する通知を適宜確認するものとし、運営者は、利用者がこの確認を行わなかったことにより利用者又は第三者に生じた損害について、一切の責任を負わないものとします。

第7条(本ソフトウェアの価格)

  1. 本ソフトウェアの価格は、各第三者PF等にて表示される金額とし、利用者はその金額を確認のうえ、購入するものとします。
  2. 第9条第3項の追加・修正プログラムは、原則として、無償で提供されるものとします。ただし、別途運営者が有償で提供する旨を決定したときは、この限りでないものとします。

第8条(禁止事項)
利用者は、本ソフトウェア又は本コンテンツの利用に際し、次の各号の行為をしてはならないものとします。

  1. 運営者又は第三者(第三者PF等を含みます。以下本条において同じ。)の著作権その他の知的財産権を含む一切の権利を侵害する行為。
  2. 運営者又は第三者のプライバシー、肖像権、パブリシティ権その他の人格権を侵害する行為。
  3. 運営者又は第三者を誹謗中傷する行為。
  4. 虚偽の情報を申告する行為。
  5. 複製(スクリーンショット等を含みます。ただし、本ソフトウェアのインストールのために必要な複製を除きます。)、頒布、公衆送信(ただし、運営者が特に認める方法によるものを除きます。)、改変、第三者への利用許諾、その他利用者が自ら個人的に利用する目的以外の目的で本ソフトウェアを利用する行為。
  6. プログラムの複製、翻案、改変又はリバースエンジニアリング若しくは逆コンパイル等の解析行為。
  7. コピープロテクションの解除、不正アクセスその他の本ソフトウェアの運営に悪影響を及ぼす行為。
  8. 不正使用を目的としたツール又はプログラム等の開発、配布及び使用並びにこれらの行為を第三者に誘発し、勧誘し、又は幇助する行為。
  9. 運営者又は第三者に対して損害を及ぼす行為。
  10. 運営者の事前の書面による承諾を得ることなく、インターネットカフェ、ゲームセンターその他の場所において商業目的で利用すること。
  11. 運営者の事前の書面による承諾を得ることなく、商業的なイベント、大会等を主催し、又は提供する行為。
  12. 本プログラムの不具合等を意図的に利用する行為。
  13. 法令等に違反する行為。
  14. 公序良俗に反する行為。
  15. 反社会的勢力に対する利益供与その他の協力行為。
  16. 前各号に準ずる行為又はそのおそれのある行為。
  17. その他、本ソフトウェアの提供を妨げ、又は妨げるおそれがあると運営者が判断する行為。

第9条(メンテナンス及び追加・修正プログラムの提供)

  1. 運営者は、次の各号のいずれかに該当する場合には、事前に利用者に通知することなく、本ソフトウェアの全部又は一部の提供を一時的に停止することができるものとします。
  2. 本ソフトウェアの正常な稼働なために必要なメンテナンスをするとき。
  3. コンピューター、通信回線等の障害、誤操作、過度なアクセスの集中、不正アクセス、ハッキング等により本ソフトウェアの運営に支障が生じたとき。
  4. 緊急やむを得ない事情が生じたとき。
  5. その他、運営者が必要と判断したとき。
  6. 利用者は、本ソフトウェアを利用するために必要なハードウェア機器、通信回線、ネットワーク環境、ソフトウェア、OS等の動作環境並びに認証に必要な第三者の提供するソフトウェア及びアカウント認証等を、自己の責任と費用負担において取得し、又は整備するものとします。
  7. 運営者は、運営者の判断において、いつでも任意に本ソフトウェアの内容の変更、機能の拡張、コンテンツの追加及びバグの修正等を目的とした本ソフトウェアの追加・修正プログラムを提供することができるものとします。
  8. 第1項の本ソフトウェアの一時的な停止及び前項の追加・修正プログラムの提供は、運営者の任意の判断で行われるものであり、運営者は、これらを行う義務を負うものではありません。

第10条(内容の変更等)

  1. 運営者は、運営者の判断において、いつでも任意に本ソフトウェアの内容を変更し、又は提供を終了することができるものとします。
  2. 運営者は、利用者に対し、本ソフトウェア及び本コンテンツについて、明示又は黙示を問わず、その機能性、正確性、完全性、安全性、有効性(特定の目的への適合性を含みます。)、継続して提供されること、その他一切の保証をしないものとします。

第11条(調査協力及び利用停止等)

  1. 運営者は、利用者が本規約に違反して本ソフトウェア若しくは本コンテンツを利用し、又はそのおそれがあると判断したとき又は運営者が必要と判断したときは、いつでも当該利用者に調査協力を求めることができるものとし、当該利用者は、これに異議を述べず、直ちに応じるものとします。この場合において、利用者が本規約に違反した事実が判明したときは、次項の定めに従うものとします。
  2. 運営者は、利用者が次の各号のいずれかに該当すると判断した場合には、事前に何らの通知催告等を要することなく、当該利用者による本ソフトウェア及び本コンテンツの全部又は一部の利用を停止し、又は制限することができるほか、本ソフトウェアにかかる利用者との契約関係の解消その他運営者が必要であると認める措置を講じることができるものとします。
  3. 第8条各号に違反したとき。
  4. 法令又は本規約等に反する行為をしたとき。
  5. 未成年者又は制限行為能力者が親権者等の同意を得ることなく本ソフトウェアを利用したとき。
  6. 本ソフトウェア及び本コンテンツの利用の継続を認めることが適当でない行為がなされたとき。
  7. 前四号に準じ、又はそのおそれがあると運営者が認めたとき。

第12条(免責)

  1. 運営者は、本規約の定めに従って本ソフトウェアの全部若しくは一部の提供を一時的に停止したこと、本ソフトウェアの内容を変更したこと又は本ソフトウェアの提供を終了したことにより利用者に生じた損害について、一切の責任を負わないものとします。
  2. 利用者は、天災地変、通信回線の不具合、停電、本ソフトウェアの運営にあたり使用する第三者PF等の停止又は仕様変更、サーバーへの過度なアクセス集中その他運営者の責めに帰すべからざる事由により利用者に生じた損害について、一切の責任を負わないものとします。
  3. 運営者は、本サイトからリンクされている運営者管理外のサイトに含まれている情報又はソフトウェア等の内容については、一切の責任を負わないものとします。
  4. 運営者が本ソフトウェア、本コンテンツ及び本規約に関して利用者に対して負う責任の範囲は、債務不履行責任、不法行為責任その他法律上の請求原因の如何を問わず、利用者に直接かつ現実に発生した通常の損害に限定されるものとし、運営者の予見可能性の有無を問わず特別の事情から生じた損害、間接損害、逸失利益等については一切の責任を負わないものとします。
  5. 運営者が本ソフトウェア、本コンテンツ及び本規約に関して利用者に対して損害賠償責任を負うときは、その賠償金額については、本ソフトウェアの購入価格を上限とします。
  6. 前二項の規定は、運営者に故意又は重過失があるときは、これを適用しないものとします。

第13条(知的財産権の帰属)

  1. 本ソフトウェア、本サイト、本コンテンツ及びこれらを構成し又は付属する有形若しくは無形の構成物その他一切の知的財産権は、すべて運営者又は運営者に利用を許諾している第三者に帰属するものとします。
  2. 運営者による本ソフトウェアの提供は、運営者が特に定めるものを除き、運営者が利用者に対して本ソフトウェア及び本コンテンツにかかる権利を譲渡し又は許諾するものと解釈してはならないものとします。

第14条(個人情報等の取扱い)

運営者が本ソフトウェアの運営により取得する利用者のデータの取扱いについては、個人情報に該当しないデータに関しては「KASSO GAIDEN: Escape from the Skaterverse プライバシーポリシー」の定めるところに、個人情報に関しては「TBSテレビ プライバシーポリシー」の定めるところに、それぞれよるものとします。

第3章  その他

第15条(損害賠償)

  1. 利用者は、本規約に違反して運営者に損害を及ぼした場合は、その一切の損害(合理的な弁護士費用を含みます。)を賠償する責めを負うものとします。
  2. 利用者は、本規約に違反して第三者に損害を及ぼした場合は、自らの責任と費用負担によりこれを処理解決し、運営者に一切の迷惑損害を及ぼさないものとします。

第16条(地位譲渡等の禁止)
利用者は、運営者の事前の書面による承諾なく、本規約上の権利義務又はその地位を第三者に譲渡し、移転し、承継させ、又は担保の用に供してはならないものとします。

第17条(分離可能性)
本規約のいずれかの条項が法令等に抵触するものとして無効と判断された場合、その無効と判断された条項は、必要な範囲において修正されたものとみなし、その他の条項に何ら影響を及ぼさないものとします。

第18条(準拠法及び合意管轄)

  1. 本規約は日本法を準拠法とし、日本法に従って解釈されるものとします。
  2. 運営者と利用者との間で、本規約、本ソフトウェア又は本コンテンツに関して発生する一切の紛争は、東京地方裁判所(本庁)が第一審の専属的合意管轄を有するものとします。

Terms of Use for “KASSO GAIDEN: Escape from the Skaterverse” – For Users Outside Japan

  Tokyo Broadcasting System Television, Inc. (hereinafter referred to as “TBS”) has established these Terms of Use (hereinafter referred to as the “Terms”) to govern access to, and the use of, the Software (as defined below) provided by TBS. All users must use this Software in accordance with the Terms.

By accessing and/or using the Software, you fully agree to the Terms described in this document. Access to and/or use of the Software also indicates that you are aware of the content of the Global Privacy Policy.

Please read these Terms carefully. By (i) clicking “I accept”, “I agree”, or a similar checkbox or button referencing these Terms, or (ii) accessing or using the Software, you will indicate your acceptance of these Terms. If you do not agree with these Terms, please do not proceed with, or promptly discontinue, your use of the Software.

IMPORTANT:  TO THE EXTENT PERMITTED IN YOUR JURISDICTION, SECTION 19.3 OF THESE TERMS REQUIRES THAT BOTH USER AND TBS GIVE UP RIGHTS TO JURY TRIALS OR CLASS ACTIONS OF ANY KIND.

WARRANTY DISCLAIMERS AND LIABILITY LIMITATIONS:  WHILE THERE ARE IMPORTANT POINTS THROUGHOUT THESE TERMS, PLEASE NOTE THAT THE WARRANTY DISCLAIMERS AND LIMITATIONS ON TBS’ LIABILITY ARE EXPLAINED IN SECTION 12.

  1. Definitions
    As used herein, the expressions set forth hereunder, unless the context otherwise herein requires, shall have the following meaning:
    “Software” means the game software program “KASSO GAIDEN: Escape from the Skaterverse” provided by TBS (including any modifications, etc., made by additional or revised programs as defined in Section 9.3).
    “User” means any person who uses the Software, such as you.
    “Content” means the video, images, sound, music, text, programs, code, and other contents provided within the Software.
    “Site” means the official website of the Software managed and operated by TBS.
    “Third-Party Platforms, etc.” means services provided by third parties other than TBS, such as Apple Inc. and Google Inc.

    For the interpretation of the Terms, words denoting the singular shall include the plural and vice versa.
  2. Application of the Terms
    2.1 The purpose of the Terms is to define the terms of use and the rights and obligations pertaining to the Software, and the Terms shall govern all relationships between TBS and the User regarding the Software.

    2.2 TBS grants the User a license to access and use the Software, and the User shall use the Software in accordance with the Terms.
  1. Amendment of the Terms
    3.1 TBS may amend the Terms at any time without obtaining the prior consent of the User if (a) the amendment is in the general interest of the User, (b) the amendment is reasonable considering its necessity, appropriateness, and other related circumstances, provided that the amendment does not conflict with the purpose of the Software. TBS will notify the User of the provisions of the amended Terms and their effective date in accordance with the provisions of Section 6.

    3.2 Any amendment to the Terms as set forth in Section 3.1 shall take effect from the effective date notified or published to the User in accordance with the provisions of Section 6.
  1. License to Use
    4.1 Any person who wishes to use the Software may do so by agreeing to the Terms and installing the Software on their devices or terminals.

    4.2 Only persons who meet all of the following conditions may use the Software:
    (i) Those who can understand, agree to, and comply with the Terms.
    (ii) In the case of minors and persons with limited legal capacity, those who have obtained the consent of their parent or legal guardian regarding the provisions of the Terms and have received an explanation of the Terms from such parent or legal guardian.

    4.3 Any person who falls under any of the following items may not use the Software. TBS may refuse or suspend the User’s use of the Software if TBS reasonably determines that the User falls under any of the following items for reasonable reasons:
    (i) Those who have previously breached the Terms.
    (ii) A minor or a person with limited legal capacity who uses the Software without the consent of their parent or legal guardian.
    (iii) Those who are residents of the United States and are under 13 years of age.
    (iv) Any other person whom TBS reasonably deems inappropriate for reasonable reasons due to a high probability of violating the Terms based on objective grounds.
  1. Third-Party Platforms, etc.
    5.1 When using Third-Party Platforms, etc. in connection with the Software, the User must comply with all terms of use and other provisions of such Third-Party Platforms, etc.

    5.2 In the case of Section 5.1, the User shall use Third-Party Platforms, etc. at their own risk and expense. TBS shall not be liable for any damage incurred by or relating to the User’s use of the Third-Party Platforms, etc.
  1. Notices
    6.1 Any notice from TBS to the User will be provided through postings on the Software or the Site, or by any other method TBS reasonably deems appropriate for reasonable reasons.

    6.2 When TBS posts a notice on the Software or the Site, such notice will be deemed to have reached the User at the time of its posting.

    6.3 The User must regularly check notices from TBS. TBS shall not be liable for any damage suffered by User or third parties arising from the User’s failure to do so.
  1. Price of the Software
    7.1 The price of the Software will be the amount displayed on each Third-Party Platform, etc. Users must confirm this amount before making a purchase.

    7.2 Additional or revised programs under Section 9.3 will, in principle, be provided free of charge, unless TBS separately designates them as paid
  1. Conditions of License (Prohibited Actions)
    The license granted to the User under the Terms is expressly conditioned upon the User’s compliance with the following restrictions, and payment of applicable fees. The User shall not engage in any of the following actions:

    (i) Any act that infringes upon the copyrights or other intellectual property rights, or any other rights, of TBS or third parties (including Third-Party Platforms, etc.; hereinafter the same applies under this Section 8).
    (ii) Any act that violates the privacy, image rights, publicity rights, or other personal rights of TBS or third parties.
    (iii) Any act that slanders or defames TBS or third parties.
    (iv) Any act of submitting false information.
    (v) Any act of reproducing (including screenshots, etc., but excluding reproductions necessary for installing the Software), distributing, publicly transmitting (excluding methods specifically approved by TBS), modifying, licensing to a third party, or otherwise using the Software for any purpose other than the User’s personal use.
    (vi) Any act of analyzing the program, such as reproduction, adaptation, modification, reverse engineering, or decompilation.
    (vii) Accessing the Software with the intent to develop or market a competing software or service, or to enable a third party to do so.
    (viii) Any act that disrupts the operation of the Software, such as circumvention of copy protection or unauthorized access.
    (ix) Developing, distributing, or using tools or programs for fraudulent purposes, or inducing, soliciting, or assisting third parties in such acts.
    (x) Any act that causes damage to TBS or third parties.
    (xi) Commercial use in internet cafes, arcades, or other locations without the prior written consent of TBS. 
    (xii) Hosting or providing commercial events, tournaments, etc., without the prior written consent of TBS.
    (xiii) Intentionally exploiting glitches, defects, or other issues in the program.
    (xiv) Any act that violates laws or regulations in any jurisdictions or regions.
    (xv) Any act contrary to public order and morals.
    (xvi) Providing benefits or other forms of cooperation to anti-social forces, organized crime groups or triads.
    (xvii) Any act equivalent to or potentially leading to the acts listed in the preceding items.
    (xviii) Any other act that TBS determines hinders or may hinder the provision of the Software.
  1. Maintenance and Provision of Additional/Revised Programs
    9.1 TBS may temporarily suspend the provision of all or part of the Software without prior notice to the User in any of the following cases:
    (i) When necessary maintenance is performed for the normal operation of the Software.
    (ii) When the operation of the Software is hindered due to failures in computers or communication lines, erroneous operations, excessive concentration of access, unauthorized access, hacking, or other issues.
    (iii) When unavoidable urgent circumstances arise.
    (iv) When TBS otherwise reasonably deems it necessary for reasonable reasons.

    9.2 Users shall, at their own responsibility and expense, acquire or prepare the necessary hardware, communication lines, network environment, software, operating systems, and other operating environments, as well as third-party software and account authentication required for authentication, to use the Software.

    9.3 TBS may, at its sole discretion, provide additional or revised programs for the Software at any time, for purposes such as modifying the content of the Software, extending functionalities, adding content, and fixing bugs.

    9.4 The temporary suspension of the Software as described in Section 9.1 and the provision of additional or revised programs as described in Section 9.3 are carried out at TBS’s sole discretion, and TBS is not obligated to perform them.
  1. Changes to the Content, etc.
    10.1 TBS may, at its sole discretion, change, update, add to, or remove all or part of the Software or the Content, or terminate the provision of the Software, for operational, legal, security, or business reasons. Where reasonably practicable, TBS will provide the User with prior notice of any material change to, or termination of, the Software e.g. through postings on the Software or the Site. However, TBS may make changes or terminate provision without prior notice where urgent circumstances make prior notice impracticable (including for security, safety, legal or operational reasons).

    10.2 THE SOFTWARE AND THE CONTENT ARE PROVIDED “AS-IS” AND ON AN “AS AVAILABLE” BASIS. USER’S USE THEREOF IS AT USER’S OWN RISK.TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TBS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:(a) ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;(b) ANY WARRANTIES REGARDING THE FUNCTIONALITY, ACCURACY, COMPLETENESS, RELIABILITY, SECURITY, TIMELINESS, OR AVAILABILITY OF THE SOFTWARE OR THE CONTENT;(c) ANY WARRANTIES THAT THE SOFTWARE OR THE CONTENT WILL BE UNINTERRUPTED, ERROR-FREE, FREE FROM BUGS, OR THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED; AND(d) ANY WARRANTIES THAT THE SOFTWARE OR THE CONTENT WILL MEET USER’S REQUIREMENTS OR EXPECTATIONS.THE PARTIES EXPRESSLY EXCLUDE THE APPLICATION OF THE FOLLOWING LAWS AND CONVENTIONS TO THESE TERMS, TO THE EXTENT PERMITTED BY LAW: (I) THE UNITED NATIONS CONVENTION ON CONTRACTS FOR THE INTERNATIONAL SALE OF GOODS; (II) THE U.S. UNIFORM COMPUTER INFORMATION TRANSACTIONS ACT; AND (III) THE U.S. UNIFORM COMMERCIAL CODE.
  1. Cooperation with Investigations and Suspension of Use, etc.
    11.1 If TBS determines that the User is using the Software or the Content in violation of the Terms, or is likely to do so, or if TBS reasonably deems it necessary for reasonable reasons, TBS may at any time request the User to cooperate with investigations. The User must comply immediately without objection. If the User’s violation of the Terms is confirmed by TBS, the provisions of the following Section 11.2 shall apply.

    11.2 If TBS determines that the User falls under any of the following items, TBS may, without any prior notice or demand, immediately suspend or restrict the User’s use of all or part of the Software and the Content, or take any other measures deemed necessary by TBS, including the termination of the contractual relationship with the User concerning the Software:
    (i) Breaching any restrictions under Section 8.
    (ii) Engaging in any act that violates laws, regulations, or the Terms, etc.
    (iii) Engaging in any act that makes the continued use of the Software and the Content inappropriate.
    (iv) Any act equivalent to or likely to fall under the preceding four items, as determined by TBS.
  2. Disclaimer; Limitation of Liability
    12.1 Nothing in these Terms limits or excludes TBS’s liability where it would be unlawful to do so. This includes liability for: (i) death or personal injury caused by TBS’s negligence; (ii) fraud or fraudulent misrepresentation.

    12.2 Subject to Section 12.1, if TBS fails to comply with these Terms, TBS is responsible for loss or damage the User suffers that is a foreseeable result of TBS’s breach of these Terms or TBS’s negligence. Loss or damage is foreseeable if it is an obvious consequence of TBS’s breach or if it was contemplated by the User and TBS at the time the User began using the Software. TBS IS NOT RESPONSIBLE FOR LOSS OR DAMAGE THAT IS NOT FORESEEABLE.

    12.3 THE USER ACKNOWLEDGES AND AGREES THAT TBS DOES NOT WARRANT OR GUARANTEE THE CONTINUOUS, UNINTERRUPTED OR ERROR-FREE OPERATION OR AVAILABILITY OF THE SOFTWARE. TBS’S OBLIGATIONS UNDER THESE TERMS DO NOT EXTEND TO ANY SUSPENSION, INTERRUPTION OR UNAVAILABILITY OF THE SOFTWARE (INCLUDING UNDER SECTIONS 9 AND/OR 10) RESULTING FROM EVENTS OUTSIDE TBS’S REASONABLE CONTROL, INCLUDING (BY WAY OF EXAMPLE) FAILURES IN COMMUNICATIONS NETWORKS, POWER OUTAGES, NATURAL DISASTERS, OR CHANGES, SUSPENSION OR SPECIFICATION CHANGES MADE BY THIRD-PARTY PLATFORMS.

    12.4 TBS DOES NOT WARRANT, ENDORSE OR ASSUME ANY OBLIGATION WITH RESPECT TO THE CONTENT, ACCURACY, AVAILABILITY OR OPERATION OF (I) THIRD-PARTY PLATFORMS, OR (II) ANY WEBSITES OR SERVICES LINKED FROM THE SITE OR THE SOFTWARE. THE USER’S USE OF SUCH THIRD-PARTY PLATFORMS, WEBSITES OR SERVICES IS AT THE USER’S OWN RISK.

    12.5 SUBJECT TO SECTIONS 12.1 AND 12.6, AND TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TBS’S MAXIMUM AGGREGATE LIABILITY TO THE USER UNDER THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, SHALL NOT EXCEED JPY 5000; PROVIDED, HOWEVER, THAT THIS LIMITATION SHALL NOT APPLY TO DAMAGES CAUSED BY TBS’S WILLFUL MISCONDUCT OR GROSS NEGLIGENCE.

    12.6 Nothing in these Terms limits or excludes any mandatory consumer rights or remedies that cannot be waived or limited under applicable law. In particular, where digital content supplied by TBS causes damage to the User’s device or other digital content and this is caused by TBS’s failure to use reasonable care and skill, the User may be entitled to repair of the damage or compensation, as required by applicable law.

    12.7 (For Users in the United States)
    IF USER IS A CALIFORNIA RESIDENT, USER HEREBY WAIVES CALIFORNIA CIVIL CODE SECTION 1542, WHICH PROVIDES: A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.
    IF USER IS NOT A CALIFORNIA RESIDENT, USER HEREBY WAIVES THEIR RIGHTS UNDER ANY STATUTE OR COMMON LAW PRINCIPLE SIMILAR TO CALIFORNIA CIVIL CODE SECTION 1542 THAT GOVERNS USER’S RIGHTS IN THEIR JURISDICTION OF RESIDENCE.
  3. Ownership of Intellectual Property Rights
    13.1 All intellectual property rights in and to the Software, the Site, the Content, and any tangible or intangible components constituting or attached thereto, shall belong to TBS or third parties who have licensed their use to TBS.

    13.2 The provision of the Software by TBS shall not be construed as the transfer or granting of any rights by TBS in and to the Software and the Content to the User, unless otherwise expressly specified by TBS.
  4. Handling of Personal Information
    The handling of the Users’ personal information acquired by TBS through the operation of the Software shall be governed by the“Global Privacy Policy for “KASSO GAIDEN: Escape from the Skaterverse”, which TBS separately establishes, amends and publishes from time to time.
  5. Compensation for Damages
    15.1 In the event the User violates the Terms and causes damage to TBS, the User must compensate TBS for all such damage to the extent permitted by applicable law.

    15.2 Except to the extent prohibited under applicable law, User hereby agrees to indemnify, defend and hold harmless TBS, TBS’ affiliates, licensors, suppliers and other contract relationships (including the officers, directors, employees, consultants, and agents of each) from and against any and all third-party claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys’ fees and costs) that such parties may incur as a result of or arising from (a) any data or information User submits or provides to TBS, (b) User’s use of the Software, (c) User’s violation of these Terms, (d) User’s use of Third-Party Platforms, or (e) User’s violation of any rights of any other person or entity.
  6. Prohibition of Assignment, etc.
    The User may not assign, transfer, succeed to, or pledge their rights or obligations under the Terms, or their status hereunder, to any third party without TBS’s prior written consent.
  7. Severability
    If any provision of the Terms is determined to be invalid or unenforceable for whatever reason, such provision(s) shall be deemed modified to the extent necessary to make it valid and enforceable. The invalidity or unenforceability of any provision or part thereof shall not affect the validity or enforceability of any other provisions or other part of the Terms.
  8. Governing Language
    In the event of any conflict or inconsistency between the English and any other language version of the Terms, the English version shall govern.
  9. Governing Law and Jurisdiction
    19.1 The Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflicts of law principles.

    19.2 All disputes arising between TBS and the User regarding the Terms, the Software, or the Content shall be submitted to the exclusive jurisdiction of the Tokyo District Court.

    19.3 In the event that any proceeding is filed or litigated between TBS and User related to these Terms, USER AND TBS EXPRESSLY WAIVE THE RIGHT TO A TRIAL BY JURY, AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING WITH RESPECT TO ANY SUCH CLAIM.

  10. Local Law Overrides
    Notwithstanding anything to the contrary in the Terms, if the laws of the country or jurisdiction in which the User is located provide the User with any mandatory consumer rights that cannot be waived or limited by contract, such rights shall apply to the User’s use of the Software. Nothing in the Terms shall limit or exclude TBS’s liability for matters that cannot be excluded or limited under applicable local law.
  11. Regional Provisions
    21.1 Applicable to Residents in Taiwan: If the User is a person without legal capacity (under seven (7) years of age, or under guardianship), the User’s legal representative shall apply for the use of the Software. If the User is a person with limited legal capacity (seven (7) years of age or older but under eighteen (18) years of age), the User may apply for the use of the Software only after obtaining the consent of their legal representative.
    The User shall use the Software only after their legal representative has read, understood, and agreed to all contents of the Terms; the same shall apply upon any amendment to the Terms.

    21.2 Applicable to Residents in Hong Kong: Nothing in the Section 12 above limits the statutory rights of the Users under (a) the Sale of Goods Ordinance (Cap. 26); (b) the Supply of Services Ordinance (Cap. 457) and (c) the Control of Exemption Clauses Ordinance (Cap. 71).
  12. No Third Party Beneficiaries
    No provisions of these Terms create any third-party beneficiary.
  13. Survivability.
    The rights, obligations, and commitments in theseTerms that, by their nature, would logically continue beyond the termination of these Terms or of User’s use of or access to the Software, survive such termination, including, without limitation, provisions related to indemnification and limitations of liability.
  14. Apple iOS
    If a User uses the Software on an Apple phone, mobile device or other device running iOS, User and TBS both acknowledge that these Terms are concluded between User and TBS only, and not with Apple, and that Apple, and Apple’s subsidiaries are third-party beneficiaries of these Terms, and upon User’s acceptance of these Terms, Apple will have the right (and will be considered to have accepted that right) to enforce these Terms against User as a third-party beneficiary of these Terms. Subject to these Terms, TBS, not Apple, is responsible for addressing any claims User may have relating to the Software, including (i) product liability claims; (ii) any claim that the Software fails to conform to any applicable legal or regulatory requirement; (iii) claims arising under consumer protection, privacy, or similar legislation, and (iv) claims related to payment and refund of any payments made by User for the Software, as applicable. In the event of any failure of the Software to conform to any applicable warranty, User may notify Apple, and Apple will refund any fee User paid for the Software, for the duration of the subscription when the Software was undisputedly non-compliant. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Software. In addition, Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Software. In the event of any third-party claim that the Software or User’s possession and use of the Software infringes a third party’s intellectual property rights, subject to these Terms, TBS, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

Terms of Use for “KASSO GAIDEN: Escape from the Skaterverse” – For Users Outside Japan

  Tokyo Broadcasting System Television, Inc. (hereinafter referred to as “TBS”) has established these Terms of Use (hereinafter referred to as the “Terms”) to govern access to, and the use of, the Software (as defined below) provided by TBS. All users must use this Software in accordance with the Terms.

By accessing and/or using the Software, you fully agree to the Terms described in this document. Access to and/or use of the Software also indicates that you are aware of the content of the Global Privacy Policy.

Please read these Terms carefully. By (i) clicking “I accept”, “I agree”, or a similar checkbox or button referencing these Terms, or (ii) accessing or using the Software, you will indicate your acceptance of these Terms. If you do not agree with these Terms, please do not proceed with, or promptly discontinue, your use of the Software.

IMPORTANT:  TO THE EXTENT PERMITTED IN YOUR JURISDICTION, SECTION 19.3 OF THESE TERMS REQUIRES THAT BOTH USER AND TBS GIVE UP RIGHTS TO JURY TRIALS OR CLASS ACTIONS OF ANY KIND.

WARRANTY DISCLAIMERS AND LIABILITY LIMITATIONS:  WHILE THERE ARE IMPORTANT POINTS THROUGHOUT THESE TERMS, PLEASE NOTE THAT THE WARRANTY DISCLAIMERS AND LIMITATIONS ON TBS’ LIABILITY ARE EXPLAINED IN SECTION 12.

  1. Definitions
    As used herein, the expressions set forth hereunder, unless the context otherwise herein requires, shall have the following meaning:
    “Software” means the game software program “KASSO GAIDEN: Escape from the Skaterverse” provided by TBS (including any modifications, etc., made by additional or revised programs as defined in Section 9.3).
    “User” means any person who uses the Software, such as you.
    “Content” means the video, images, sound, music, text, programs, code, and other contents provided within the Software.
    “Site” means the official website of the Software managed and operated by TBS.
    “Third-Party Platforms, etc.” means services provided by third parties other than TBS, such as Apple Inc. and Google Inc.

    For the interpretation of the Terms, words denoting the singular shall include the plural and vice versa.
  2. Application of the Terms
    2.1 The purpose of the Terms is to define the terms of use and the rights and obligations pertaining to the Software, and the Terms shall govern all relationships between TBS and the User regarding the Software.

    2.2 TBS grants the User a license to access and use the Software, and the User shall use the Software in accordance with the Terms.
  1. Amendment of the Terms
    3.1 TBS may amend the Terms at any time without obtaining the prior consent of the User if (a) the amendment is in the general interest of the User, (b) the amendment is reasonable considering its necessity, appropriateness, and other related circumstances, provided that the amendment does not conflict with the purpose of the Software. TBS will notify the User of the provisions of the amended Terms and their effective date in accordance with the provisions of Section 6.

    3.2 Any amendment to the Terms as set forth in Section 3.1 shall take effect from the effective date notified or published to the User in accordance with the provisions of Section 6.
  1. License to Use
    4.1 Any person who wishes to use the Software may do so by agreeing to the Terms and installing the Software on their devices or terminals.

    4.2 Only persons who meet all of the following conditions may use the Software:
    (i) Those who can understand, agree to, and comply with the Terms.
    (ii) In the case of minors and persons with limited legal capacity, those who have obtained the consent of their parent or legal guardian regarding the provisions of the Terms and have received an explanation of the Terms from such parent or legal guardian.

    4.3 Any person who falls under any of the following items may not use the Software. TBS may refuse or suspend the User’s use of the Software if TBS reasonably determines that the User falls under any of the following items for reasonable reasons:
    (i) Those who have previously breached the Terms.
    (ii) A minor or a person with limited legal capacity who uses the Software without the consent of their parent or legal guardian.
    (iii) Those who are residents of the United States and are under 13 years of age.
    (iv) Any other person whom TBS reasonably deems inappropriate for reasonable reasons due to a high probability of violating the Terms based on objective grounds.
  1. Third-Party Platforms, etc.
    5.1 When using Third-Party Platforms, etc. in connection with the Software, the User must comply with all terms of use and other provisions of such Third-Party Platforms, etc.

    5.2 In the case of Section 5.1, the User shall use Third-Party Platforms, etc. at their own risk and expense. TBS shall not be liable for any damage incurred by or relating to the User’s use of the Third-Party Platforms, etc.
  1. Notices
    6.1 Any notice from TBS to the User will be provided through postings on the Software or the Site, or by any other method TBS reasonably deems appropriate for reasonable reasons.

    6.2 When TBS posts a notice on the Software or the Site, such notice will be deemed to have reached the User at the time of its posting.

    6.3 The User must regularly check notices from TBS. TBS shall not be liable for any damage suffered by User or third parties arising from the User’s failure to do so.
  1. Price of the Software
    7.1 The price of the Software will be the amount displayed on each Third-Party Platform, etc. Users must confirm this amount before making a purchase.

    7.2 Additional or revised programs under Section 9.3 will, in principle, be provided free of charge, unless TBS separately designates them as paid
  1. Conditions of License (Prohibited Actions)
    The license granted to the User under the Terms is expressly conditioned upon the User’s compliance with the following restrictions, and payment of applicable fees. The User shall not engage in any of the following actions:

    (i) Any act that infringes upon the copyrights or other intellectual property rights, or any other rights, of TBS or third parties (including Third-Party Platforms, etc.; hereinafter the same applies under this Section 8).
    (ii) Any act that violates the privacy, image rights, publicity rights, or other personal rights of TBS or third parties.
    (iii) Any act that slanders or defames TBS or third parties.
    (iv) Any act of submitting false information.
    (v) Any act of reproducing (including screenshots, etc., but excluding reproductions necessary for installing the Software), distributing, publicly transmitting (excluding methods specifically approved by TBS), modifying, licensing to a third party, or otherwise using the Software for any purpose other than the User’s personal use.
    (vi) Any act of analyzing the program, such as reproduction, adaptation, modification, reverse engineering, or decompilation.
    (vii) Accessing the Software with the intent to develop or market a competing software or service, or to enable a third party to do so.
    (viii) Any act that disrupts the operation of the Software, such as circumvention of copy protection or unauthorized access.
    (ix) Developing, distributing, or using tools or programs for fraudulent purposes, or inducing, soliciting, or assisting third parties in such acts.
    (x) Any act that causes damage to TBS or third parties.
    (xi) Commercial use in internet cafes, arcades, or other locations without the prior written consent of TBS. 
    (xii) Hosting or providing commercial events, tournaments, etc., without the prior written consent of TBS.
    (xiii) Intentionally exploiting glitches, defects, or other issues in the program.
    (xiv) Any act that violates laws or regulations in any jurisdictions or regions.
    (xv) Any act contrary to public order and morals.
    (xvi) Providing benefits or other forms of cooperation to anti-social forces, organized crime groups or triads.
    (xvii) Any act equivalent to or potentially leading to the acts listed in the preceding items.
    (xviii) Any other act that TBS determines hinders or may hinder the provision of the Software.
  1. Maintenance and Provision of Additional/Revised Programs
    9.1 TBS may temporarily suspend the provision of all or part of the Software without prior notice to the User in any of the following cases:
    (i) When necessary maintenance is performed for the normal operation of the Software.
    (ii) When the operation of the Software is hindered due to failures in computers or communication lines, erroneous operations, excessive concentration of access, unauthorized access, hacking, or other issues.
    (iii) When unavoidable urgent circumstances arise.
    (iv) When TBS otherwise reasonably deems it necessary for reasonable reasons.

    9.2 Users shall, at their own responsibility and expense, acquire or prepare the necessary hardware, communication lines, network environment, software, operating systems, and other operating environments, as well as third-party software and account authentication required for authentication, to use the Software.

    9.3 TBS may, at its sole discretion, provide additional or revised programs for the Software at any time, for purposes such as modifying the content of the Software, extending functionalities, adding content, and fixing bugs.

    9.4 The temporary suspension of the Software as described in Section 9.1 and the provision of additional or revised programs as described in Section 9.3 are carried out at TBS’s sole discretion, and TBS is not obligated to perform them.
  1. Changes to the Content, etc.
    10.1 TBS may, at its sole discretion, change, update, add to, or remove all or part of the Software or the Content, or terminate the provision of the Software, for operational, legal, security, or business reasons. Where reasonably practicable, TBS will provide the User with prior notice of any material change to, or termination of, the Software e.g. through postings on the Software or the Site. However, TBS may make changes or terminate provision without prior notice where urgent circumstances make prior notice impracticable (including for security, safety, legal or operational reasons).

    10.2 THE SOFTWARE AND THE CONTENT ARE PROVIDED “AS-IS” AND ON AN “AS AVAILABLE” BASIS. USER’S USE THEREOF IS AT USER’S OWN RISK.TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TBS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:(a) ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;(b) ANY WARRANTIES REGARDING THE FUNCTIONALITY, ACCURACY, COMPLETENESS, RELIABILITY, SECURITY, TIMELINESS, OR AVAILABILITY OF THE SOFTWARE OR THE CONTENT;(c) ANY WARRANTIES THAT THE SOFTWARE OR THE CONTENT WILL BE UNINTERRUPTED, ERROR-FREE, FREE FROM BUGS, OR THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED; AND(d) ANY WARRANTIES THAT THE SOFTWARE OR THE CONTENT WILL MEET USER’S REQUIREMENTS OR EXPECTATIONS.THE PARTIES EXPRESSLY EXCLUDE THE APPLICATION OF THE FOLLOWING LAWS AND CONVENTIONS TO THESE TERMS, TO THE EXTENT PERMITTED BY LAW: (I) THE UNITED NATIONS CONVENTION ON CONTRACTS FOR THE INTERNATIONAL SALE OF GOODS; (II) THE U.S. UNIFORM COMPUTER INFORMATION TRANSACTIONS ACT; AND (III) THE U.S. UNIFORM COMMERCIAL CODE.
  1. Cooperation with Investigations and Suspension of Use, etc.
    11.1 If TBS determines that the User is using the Software or the Content in violation of the Terms, or is likely to do so, or if TBS reasonably deems it necessary for reasonable reasons, TBS may at any time request the User to cooperate with investigations. The User must comply immediately without objection. If the User’s violation of the Terms is confirmed by TBS, the provisions of the following Section 11.2 shall apply.

    11.2 If TBS determines that the User falls under any of the following items, TBS may, without any prior notice or demand, immediately suspend or restrict the User’s use of all or part of the Software and the Content, or take any other measures deemed necessary by TBS, including the termination of the contractual relationship with the User concerning the Software:
    (i) Breaching any restrictions under Section 8.
    (ii) Engaging in any act that violates laws, regulations, or the Terms, etc.
    (iii) Engaging in any act that makes the continued use of the Software and the Content inappropriate.
    (iv) Any act equivalent to or likely to fall under the preceding four items, as determined by TBS.
  2. Disclaimer; Limitation of Liability
    12.1 Nothing in these Terms limits or excludes TBS’s liability where it would be unlawful to do so. This includes liability for: (i) death or personal injury caused by TBS’s negligence; (ii) fraud or fraudulent misrepresentation.

    12.2 Subject to Section 12.1, if TBS fails to comply with these Terms, TBS is responsible for loss or damage the User suffers that is a foreseeable result of TBS’s breach of these Terms or TBS’s negligence. Loss or damage is foreseeable if it is an obvious consequence of TBS’s breach or if it was contemplated by the User and TBS at the time the User began using the Software. TBS IS NOT RESPONSIBLE FOR LOSS OR DAMAGE THAT IS NOT FORESEEABLE.

    12.3 THE USER ACKNOWLEDGES AND AGREES THAT TBS DOES NOT WARRANT OR GUARANTEE THE CONTINUOUS, UNINTERRUPTED OR ERROR-FREE OPERATION OR AVAILABILITY OF THE SOFTWARE. TBS’S OBLIGATIONS UNDER THESE TERMS DO NOT EXTEND TO ANY SUSPENSION, INTERRUPTION OR UNAVAILABILITY OF THE SOFTWARE (INCLUDING UNDER SECTIONS 9 AND/OR 10) RESULTING FROM EVENTS OUTSIDE TBS’S REASONABLE CONTROL, INCLUDING (BY WAY OF EXAMPLE) FAILURES IN COMMUNICATIONS NETWORKS, POWER OUTAGES, NATURAL DISASTERS, OR CHANGES, SUSPENSION OR SPECIFICATION CHANGES MADE BY THIRD-PARTY PLATFORMS.

    12.4 TBS DOES NOT WARRANT, ENDORSE OR ASSUME ANY OBLIGATION WITH RESPECT TO THE CONTENT, ACCURACY, AVAILABILITY OR OPERATION OF (I) THIRD-PARTY PLATFORMS, OR (II) ANY WEBSITES OR SERVICES LINKED FROM THE SITE OR THE SOFTWARE. THE USER’S USE OF SUCH THIRD-PARTY PLATFORMS, WEBSITES OR SERVICES IS AT THE USER’S OWN RISK.

    IF USER IS NOT A CALIFORNIA RESIDENT, USER HEREBY WAIVES THEIR RIGHTS UNDER ANY STATUTE OR COMMON LAW PRINCIPLE SIMILAR TO CALIFORNIA CIVIL CODE SECTION 1542 THAT GOVERNS USER’S RIGHTS IN THEIR JURISDICTION OF RESIDENCE.
  3. Ownership of Intellectual Property Rights
    13.1 All intellectual property rights in and to the Software, the Site, the Content, and any tangible or intangible components constituting or attached thereto, shall belong to TBS or third parties who have licensed their use to TBS.

    13.2 The provision of the Software by TBS shall not be construed as the transfer or granting of any rights by TBS in and to the Software and the Content to the User, unless otherwise expressly specified by TBS.
  4. Handling of Personal Information
    The handling of the Users’ personal information acquired by TBS through the operation of the Software shall be governed by the“Global Privacy Policy for “KASSO GAIDEN: Escape from the Skaterverse”, which TBS separately establishes, amends and publishes from time to time.
  5. Compensation for Damages
    15.1 In the event the User violates the Terms and causes damage to TBS, the User must compensate TBS for all such damage to the extent permitted by applicable law.

    15.2 Except to the extent prohibited under applicable law, User hereby agrees to indemnify, defend and hold harmless TBS, TBS’ affiliates, licensors, suppliers and other contract relationships (including the officers, directors, employees, consultants, and agents of each) from and against any and all third-party claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys’ fees and costs) that such parties may incur as a result of or arising from (a) any data or information User submits or provides to TBS, (b) User’s use of the Software, (c) User’s violation of these Terms, (d) User’s use of Third-Party Platforms, or (e) User’s violation of any rights of any other person or entity.
  6. Prohibition of Assignment, etc.
    The User may not assign, transfer, succeed to, or pledge their rights or obligations under the Terms, or their status hereunder, to any third party without TBS’s prior written consent.
  7. Severability
    If any provision of the Terms is determined to be invalid or unenforceable for whatever reason, such provision(s) shall be deemed modified to the extent necessary to make it valid and enforceable. The invalidity or unenforceability of any provision or part thereof shall not affect the validity or enforceability of any other provisions or other part of the Terms.
  8. Governing Language
    In the event of any conflict or inconsistency between the English and any other language version of the Terms, the English version shall govern.
  9. Governing Law and Jurisdiction
    19.1 The Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflicts of law principles.

    19.2 All disputes arising between TBS and the User regarding the Terms, the Software, or the Content shall be submitted to the exclusive jurisdiction of the Tokyo District Court.

    19.3 In the event that any proceeding is filed or litigated between TBS and User related to these Terms, USER AND TBS EXPRESSLY WAIVE THE RIGHT TO A TRIAL BY JURY, AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING WITH RESPECT TO ANY SUCH CLAIM.

  10. Local Law Overrides
    Notwithstanding anything to the contrary in the Terms, if the laws of the country or jurisdiction in which the User is located provide the User with any mandatory consumer rights that cannot be waived or limited by contract, such rights shall apply to the User’s use of the Software. Nothing in the Terms shall limit or exclude TBS’s liability for matters that cannot be excluded or limited under applicable local law.
  11. Regional Provisions
    21.1 Applicable to Residents in Taiwan: If the User is a person without legal capacity (under seven (7) years of age, or under guardianship), the User’s legal representative shall apply for the use of the Software. If the User is a person with limited legal capacity (seven (7) years of age or older but under eighteen (18) years of age), the User may apply for the use of the Software only after obtaining the consent of their legal representative.
    The User shall use the Software only after their legal representative has read, understood, and agreed to all contents of the Terms; the same shall apply upon any amendment to the Terms.

    21.2 Applicable to Residents in Hong Kong: Nothing in the Section 12 above limits the statutory rights of the Users under (a) the Sale of Goods Ordinance (Cap. 26); (b) the Supply of Services Ordinance (Cap. 457) and (c) the Control of Exemption Clauses Ordinance (Cap. 71).
  12. No Third Party Beneficiaries
    No provisions of these Terms create any third-party beneficiary.
  13. Survivability.
    The rights, obligations, and commitments in theseTerms that, by their nature, would logically continue beyond the termination of these Terms or of User’s use of or access to the Software, survive such termination, including, without limitation, provisions related to indemnification and limitations of liability.
  14. Apple iOS
    If a User uses the Software on an Apple phone, mobile device or other device running iOS, User and TBS both acknowledge that these Terms are concluded between User and TBS only, and not with Apple, and that Apple, and Apple’s subsidiaries are third-party beneficiaries of these Terms, and upon User’s acceptance of these Terms, Apple will have the right (and will be considered to have accepted that right) to enforce these Terms against User as a third-party beneficiary of these Terms. Subject to these Terms, TBS, not Apple, is responsible for addressing any claims User may have relating to the Software, including (i) product liability claims; (ii) any claim that the Software fails to conform to any applicable legal or regulatory requirement; (iii) claims arising under consumer protection, privacy, or similar legislation, and (iv) claims related to payment and refund of any payments made by User for the Software, as applicable. In the event of any failure of the Software to conform to any applicable warranty, User may notify Apple, and Apple will refund any fee User paid for the Software, for the duration of the subscription when the Software was undisputedly non-compliant. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Software. In addition, Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Software. In the event of any third-party claim that the Software or User’s possession and use of the Software infringes a third party’s intellectual property rights, subject to these Terms, TBS, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.
